Ethics is a cultural trait befitting to our company. It is within the heart of our work team, our identity, and our actions. This is the pillar of our choices and our proceeding.

Ethics and compliance corporate program

Our Corporate Government applies the business philosophy, policies, rules, means, practices and processes through which the company is managed, operated and controlled. Our goals are corporate efficiency, boosting growth, and building investor confidence in domestic and foreign contexts, as well as managing our business with a sustainability approach in a responsible, transparent, and ethical manner.

Convinced that ethics is the central axis of our actions, the Ethics and Compliance Business Program has been created.

Program objectives

At ISA, we have evolved. We have a higher purpose, embodied in a phrase as beautiful as it is challenging: CONNECTIONS THAT INSPIRE. This purpose guides our business philosophy, exceeds the limits of our business, places us in the focus of meaningful conversations for society, and represents great challenges and commitments we undertake with dedication and commitment. In accordance with our higher purpose, we advance towards a new strategic vision aimed at evolving from the concept of profitable growth to Sustainable Value, which necessarily includes business ethics as a guiding principle.

Ethics defines the global nature of the organization. It is the main pillar for generating confidence among our stakeholders, as it is identified as the intrinsic characteristic of our administrators and employees. ISA and its companies have based their identity on ethical principles grounded on the adoption of honest, coherent, suitable, and responsible conducts that promote the strategic cycles and ensure responsible value generation for all stakeholders.

Based on our Code of Ethics and Conduct and on ethical actions and attributes promulgated, the Ethics and Compliance Business Program has been designed, through which ISA and its companies seek to strengthen ethics as a cultural feature that influences each of our decisions and actions. Likewise, it allows to manage, in each geography and business, regulatory compliance related to the risk events of fraud, corruption, bribery, money laundering, and terrorism financing, which may affect business resources and therefore, the reputation and sustainability of the Group.

Comprehensive risk management

 

It determines strategic decisions. Risk management is transversal and of great importance for the organization. Its purpose is to protect and preserve the integrity of financial resources and the company’s reputation, as well as to fulfill its goals.

The management of fraud and corruption risks is part of the policy and methodology defined in the organization for the Comprehensive Risk Management, where it was decided that processes must identify risk events and their management measures for fraud and corruption risks, even if the risk is low. This risk is managed within the framework of the following cycle:

Prevention

Prevention mechanisms are aimed at minimizing the likelihood of occurrence of risk events and at limiting exposure to them. In this regard, it is important to adopt a coherent and integrated approach that considers all the elements defined in the organization, among which are: policies, guidelines, procedures, roles, responsibilities.

Detection

There are mechanisms defined to allow early detection of the possible materialization of fraud and corruption risk events, aimed at minimizing their impact. These measures should complement the preventive approach.

Investigation and response

Investigation mechanisms are aimed at carrying out the necessary actions to clarify the materialization of possible risks. When information about unethical behavior is available, whether it is potential or real, ISA and its companies will make the necessary verifications in an objective, exhaustive manner.

Governance structure

The management of Ethics and Compliance is leveraged in the following government model, in which everyone has a role and responsibilities to fulfill, ranging from the Boards of Directors/Administration directories or Councils, to each of our Group.

Ethics committee

The Ethics Committee is the body in charge of reporting the ethics management and acting as an advisory body to guide employees and third parties in general during the application of the principles stated in the Code of Ethics.

Follow-up, monitoring, and reporting

The Transparencia por Colombia Corporation presented the results of its Transparencia Empresarial 2020 survey, which voluntarily evaluated 23 companies from the country’s utilities sector. Once again, ISA was scored as a company with low corruption risk.

This survey, conducted every two years, is a tool to promote a culture of integrity within the company sector and to provide good practices for institutional strengthening.

Learn how this channel is structured

Purpose

To have a communication channel through which stakeholders of ISA and its companies can consult or report breaches of our Code of Ethics and Conduct.

Management

An external call center serves the ethics line. Once the cases have been received, recorded and classified, these are managed by the Ethics Committee.

Information processing

The information received through the ethics line is classified and managed as confidential. Personal data are processed appropriately and for authorized purposes.

The identity of the person is protected.

Each of our affiliates has an ethics line to consult or report any breach of the Code of Ethics and Conduct.
