Politics​

Every shareholder has the right to receive, as a dividend, a portion of our group’s profits in proportion to the shares they hold. For the purpose of profit distribution in accordance with Articles 155 and 454 of the Commercial Code, the profits to be considered as net profits are those resulting from the application of the following procedure:

a). The profits reported by our company based on the actual and reliable financial statements of each fiscal year are taken. From this amount, only the following items are deducted:


Eliminate losses from previous fiscal years (if any) the legal reserve appropriations for tax payments

b). The determined balance is then subject to the distribution percentages in accordance with the aforementioned Articles of the Commercial Code. This amount will be the minimum to be distributed as a dividend in each period.
c). The amounts remaining after distributing the minimum dividends will be at the disposal of the General Shareholders’ Meeting to allocate statutory reserves, voluntary reserves, or to be distributed as additional dividends on top of the minimum dividends established in item b).

Articles 155 and 454 of the Commercial Code

– Art. 155 – Approval of Profit Distribution. Modified by Art. 240 of Law 222 of 1995. Unless the bylaws establish a higher decision-making majority, the distribution of profits shall be approved by the shareholders’ meeting or partners’ assembly with the favorable vote of a plural number of partners representing at least 78% of the shares, quotas, or interests represented at the meeting.

When the majority provided in the previous paragraph is not obtained, at least 50% of the net profits or the remaining balance thereof must be distributed if previous years’ losses need to be covered.

– Art. 454 – Increase in the Percentage of Profit Distribution in a Corporation. If the sum of the legal, statutory, and occasional reserves exceeds one hundred percent of the subscribed capital, the mandatory percentage of net profits that the company must distribute under Article 155 shall be raised to seventy percent (70%).

Fiscal Year 2019

The Ordinary General Shareholders’ Meeting of ISA held on March 27, 2020 approved the proposal for the distribution of profits for fiscal year 2019. The proposal consists of distributing profits of COP $747,683 million to decree an ordinary dividend of COP $675 per share, the highest paid so far.

Share program

“ISA Acciones para Todos” was the first share program that allowed Colombians to find a safe investment opportunity in the purchase of shares.

Between November 27 and December 20, 2000, we carried out the first mass placement program of shares. 115 million shares were placed among 62,016 citizens and institutional investors that represented 13.62% of the purchase. ISA’s privileged share was listed on the three stock exchanges in the country and began trading on February 9, 2001.

Between April 25 and May 10, 2002, we made the second issuance of preferred shares. We placed 120 million shares among 47,746 Colombians, of which 32% were already ISA shareholders. After these first two issues, the others were carried out through Book Building, (carried out in 2007 and 2009), a methodology in which the market defines the share price through offers.

Securities program

The Program for the Issuance and Placement of Internal Public Debt Securities of ISA, hereinafter (“The Program”) has a global limit of six trillion five hundred billion Colombian pesos (COP 6.500.000.000.000.000) legal tender, which may be increased with the corresponding authorizations.

The Board of Directors of ISA: On July 25, 2003, as attested by Minutes No. 600, authorized the execution of “the Program” for up to four hundred fifty billion Colombian pesos (COP 450.000.000.000); on March 29, 2005, as attested by Minutes No. 621, authorized the First Expansion of the Program by four hundred billion Colombian Pesos (COP 400.000.000.000); on May 30, 2008, as attested by Minutes No. 665, authorized the Second Expansion of the Program by three hundred fifty billion Colombian Pesos (COP 350.000.000.000); on April 30, 2010, as attested by Minutes No. 693, authorized the Third Expansion of the Program by five hundred billion Colombian Pesos (COP 500.000.000.000); on April 27, 2012, as attested by Minutes No. 719, authorized the Fourth Expansion of the Program by one trillion Colombian Pesos (COP 1.000.000.000.000); on September 28, 2012, as attested by Minutes No. 725, the incorporation of Commercial Papers in the Program’s global limit was authorized; on February 27, 2015, as attested by Minutes No. 756, authorized the Fifth Expansion of the Program by eight hundred billion Colombian Pesos (COP 800.000.000.000); on October 28, 2016, as attested by Minutes No. 782, authorized the Sixth Expansion of the Program by one trillion Colombian Pesos (COP 1.000.000.000.000); on October 27, 2017, as attested by Minutes No. 797, authorized the Seventh Expansion of the Program by two trillion Colombian Pesos (COP 2.000.000.000.000).

The National Planning Department (DNP) issued authorization No. SC-04-063-2003 of December 4, 2003, No. SC-02-036-2005 of August 26, 2005, No. SC-20082300693951 of November 25, 2008, No. SC-20102300272111 of April 15, 2010, No. SC-20122300469891 of May 24, 2012 including July 10, 2012, No. 20154380409141 dated July 7, 2015 including October 5, 2015, and No. 20174380264571 of May 4, 2017.

The Ministry of Finance and Public Credit authorized the Program by means of Resolution No. 343 of February 11, 2004, amended and supplemented by Resolutions No. 427 of February 17, 2004, No. 2915 of November 8, 2004, No. 117 of January 23, 2006, No. 177 of January 29, 2009, No. 3319 of November 5, 2010, No. 3019 of October 21, 2011, No. 0334 of January 11, 2013 as amended and supplemented by Resolution No. 572 of February 27, 2013, No. 3765 of October 9, 2015, No. 4120 of November 18, 2015, No. 510 of February 27, 2017 and No. 650 of March 8, 2018.

The Financial Superintendence of Colombia S.A.,approved the Program by means of Resolution No. 205 of February 18, 2004, amended and supplemented by Resolutions No. 0254 of February 10, 2006, No. 0140 of February 6, 2009, No. 2375 of December 14, 2010, No. 2143 of November 25, 2011, No. 0579 of March 21, 2013, No. 1798 of December 29, 2015; No. 046 of January 21, 2016, No. 0734 of May 19, 2017 and No. 797 of June 25, 2018.
Government authorizations have been granted by all the relevant authorities pursuant to Decree 2681 of 1993, which regulates Law 80 of 1993, and pursuant to requirements of Decree 2555 of 2010 of the Ministry of Finance and Public Credit.
